Foreign Company Registration in Iraq: Process and Requiremen

Pre-Registration Stage

At Al-Nesoor Law Firm, we assist international companies in establishing branches in Iraq to operate in both the public and private sectors.

Our services begin with preparing and submitting all required documentation, duly authenticated by the Embassy of the Republic of Iraq in the company’s country of origin, to the Business Registration Directorate. We also handle the payment of all applicable governmental fees on behalf of our clients.

We coordinate closely with the Business Registration Directorate to obtain the necessary approvals and official documentation. The application is then forwarded to the relevant national security authorities to secure mandatory clearances. In parallel, we liaise with the Residency Directorate to complete all immigration-related requirements.

Upon obtaining all required approvals, the Business Registration Directorate issues the official authorization to establish the company’s branch in Iraq.

Following this, and in accordance with Iraqi law:

  • A licensed legal advisor is appointed through the Iraqi Lawyers Union
  • A certified accountant is engaged
  • The company’s official business address in Iraq is registered and verified

Post-Registration Stage

After successful registration, ongoing compliance and administrative procedures are required.

We assist with:

  • Authentication of additional copies of the branch authorization or certificate of establishment
  • Preparation and submission of periodic filings
  • Drafting and registering company contracts
  • Issuance and renewal of appointment documents for branch and department managers

We also facilitate:

  • Issuance of official confirmation letters to government entities to verify the company’s legal status
  • Renewal of legal counsel appointments and other required documentation to ensure continued compliance and smooth operations
